Welcome, and thank you for your interest in Grey Haven, LLC. ("Grey Haven," "we," or "us") and our website at www.greyhaven.ai, along with the Software (as defined below), our related websites, hosted applications or other downloadable applications, and other services provided by us (collectively, the "Service").

These Terms and Conditions, including Grey Haven's Privacy Policy, (together, these "Terms") are a legally binding contract between you and Grey Haven regarding your use of the Service.

Important Notice

BY CLICKING "I ACCEPT," SIGNING AN ORDER FORM THAT REFERENCES THESE TERMS, OR BY DOWNLOADING, INSTALLING, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY, THESE TERMS.

IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICE. YOUR USE OF THE SERVICE, AND GREY HAVEN'S PROVISION OF THE SERVICE TO YOU, CONSTITUTES AN AGREEMENT BY GREY HAVEN AND BY YOU TO BE BOUND BY THESE TERMS.

Grey Haven Service Overview

Our software platforms offer a suite of tools driven by machine learning to help users interact with artificial intelligence to perform a variety of tasks.

Eligibility

You must be at least the age of majority in your jurisdiction (e.g., 18 years old in the United States) or 18 years old, whichever is higher. By agreeing to these Terms, you represent and warrant to us that:

• You are at least 18 years old or the age of majority in your jurisdiction, whichever is higher
• You have not previously been suspended or removed from the Service
• Your registration and use of the Service complies with applicable laws and regulations

If you are an entity, organization, or company, the individual accepting these Terms on your behalf represents and warrants that they have authority to bind you to these Terms and you agree to be bound by these Terms.

Accounts and Registration

To access most features of the Service, you must register for an account. When you register for an account, you may be required to provide us with some information about yourself, such as your name, email address, or other contact information.

You agree that the information you provide to us is accurate, complete, and not misleading, and that you will keep it accurate and up to date at all times. When you register, you will be asked to create a password. You are solely responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account.

If you believe that your account is no longer secure, then you should immediately notify us at contact@greyhaven.ai.

General Payment Terms

Certain features of the Service may require you to pay fees. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged. All fees are in U.S. Dollars and are non-refundable, except as required by law.

Price

Grey Haven reserves the right to determine pricing for the Service. We will make reasonable efforts to keep pricing information published on the Service up to date. Grey Haven may change the fees for any feature of the Service, including additional fees or charges, if Grey Haven gives you advance notice of changes before they apply.

Payment Processing

We use Stripe, Inc. and its affiliates ("Stripe") for payment processing. By using our payment functions, you agree to the Stripe terms and conditions and Privacy Policy.

Subscription Service

For subscription-based plans, your subscription will automatically renew unless you cancel it. You must cancel before the renewal date to avoid charges for the next subscription period. You can cancel by using the cancellation functionality in your account settings or by contacting us at contact@greyhaven.ai.

Licenses

Limited License

Subject to your complete and ongoing compliance with these Terms, Grey Haven grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service.

License Restrictions

Except and solely to the extent such a restriction is impermissible under applicable law, you may not:

• Reproduce, distribute, publicly display, or create derivative works of the Service
• Make modifications to the Service
• Reverse engineer or attempt to discover source code
• Send sensitive information subject to specific regulatory requirements (HIPAA, PCI-DSS, etc.)
• Use automated tools to scrape or extract data
• Remove proprietary notices or labels
• Interfere with security or access control mechanisms

Ownership and Proprietary Rights

Rights to the Service

Grey Haven owns and retains all right, title and interest in and to the Service. The visual interfaces, graphics, design, compilation, information, data, computer code, products, software, services, and all other elements of the Service ("Materials") are protected by intellectual property and other laws.

Suggestions and AI Output

Grey Haven assigns to you all rights to any Suggestions generated based on your input. However, you acknowledge that Suggestions are generated automatically by machine learning technology and may be similar to Suggestions provided to other customers. You understand that AI-generated content has inherent limitations, including potential errors, biases, and limitations in understanding context and nuance.

Customer and Usage Data

Customer Data

Any data you submit to the Service is only used to provide Suggestions unless you opt-in to allow Grey Haven to use such data to improve the Service. In Privacy Mode, your data is only used for real-time generation and is deleted after use.

Usage Data

We may collect performance and usage data relating to your use of the Service. This data will not include your Customer Data and will only be used to improve our services and ensure stability.

Third-Party Software

The Service may include third-party software components under licenses granting recipients broad rights to copy, modify, and distribute those components ("Third-Party Components"). Nothing in these Terms prevents you from obtaining or using Third-Party Components under their applicable licenses.

Communications

We may send you emails about our products and services, as well as those of third parties. You may opt out of promotional emails by contacting us at contact@greyhaven.ai.

Term, Termination, and Modification

Term

These Terms are effective until terminated by either party. Your rights under these Terms will automatically terminate if you fail to comply with any Terms.

Effect of Termination

Upon termination:

• Your license rights will terminate
• You must cease all use of the Service
• You must pay any outstanding amounts due
• You are responsible for retaining copies of your content

Indemnification

You agree to indemnify and hold Grey Haven harmless from any claims, losses, liability, and expenses (including attorneys' fees) arising from your use of the Service and any violation of these Terms.

Disclaimers and Warranties

THE SERVICE AND ALL MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. GREY HAVEN DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL GREY HAVEN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

THE MAXIMUM LIABILITY OF GREY HAVEN FOR ANY CLAIMS UNDER THESE TERMS IS LIMITED TO THE GREATER OF: (a) THE AMOUNT YOU HAVE PAID TO GREY HAVEN IN THE PAST 6 MONTHS OR (b) $100.

Dispute Resolution

Any disputes will be resolved through binding arbitration conducted by the American Arbitration Association. You agree to resolve disputes on an individual basis and waive any right to participate in class actions.

Governing Law

These Terms are governed by the laws of the State of California without regard to conflict of law principles. For any claims not subject to arbitration, you agree to submit to the personal jurisdiction of the courts located within Santa Clara County, California.

International Use

The Service is intended for visitors located within the United States. Access from territories where the Service is illegal is prohibited. We make no representation that the Service is appropriate or available for use in other locations.

Consent to Electronic Communications

By using the Service, you consent to receiving certain electronic communications from us as described in our Privacy Policy. You agree that any notices, agreements, disclosures, or other communications that we send you electronically will satisfy any legal communication requirements, including that those communications be in writing.

Notice to California Residents

Under California Civil Code Section 1789.3, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 N. Market Blvd., Suite S-202, Sacramento, California 95834, or by telephone at +1-800-952-5210, in order to resolve a complaint regarding the Service or to receive further information regarding use of the Service.

No Support

We are under no obligation to provide support for the Service. In instances where we may offer support, the support will be subject to published policies.
